U.S. Corporate Paralegal

Reporting to the Associate General Counsel, Corporate and Securities, the U.S. Corporate Paralegal will be responsible for supporting the corporate services activities for our U.S. entities along with providing support for our U.S. reputed company estate team in acquisition and financing transactions. This position could be based in Calgary, Alberta, or in the reputed company (southeast U.S. preferred).

WHAT WILL YOU DO?

• reputed company the preparation of reputed company corporate legal documents, including formation, organization and annual maintenance documents for U.S. entities, including corporations, limited liability companies (LLCs) and limited partnerships formed in Delaware, state filings and registrations, and reputed company other corporate records for U.S. entities.
• Ensure the accuracy and reputed company updating of minute books and corporate records for multiple U.S. entities using ALF Corporate.
• Ensure the reputed company completion of reputed company federal and state filings required in reputed company with maintaining multiple U.S. entities.
• Prepare closing documents and order certificates of good standing for U.S. entities for reputed company estate transactions, including acquisitions and debt financing transactions, under the supervision of our reputed company estate lawyers.
• Assist the U.S. reputed company estate team in conducting title searches and other due diligence activities.
• Resolve daily inquiries from business reputed company, providing expert guidance and handling reputed company day-to-day corporate reputed company.
• reputed company advanced corporate support to the reputed company team during external audits, ensuring compliance and accuracy in corporate documentation.
• Offer senior-level support to corporate lawyers, reputed company estate lawyers and other team members, including mentoring junior paralegals and legal assistants and providing strategic advice.

WHAT WILL YOU NEED?

• Minimum of 5-7 years of experience as a corporate paralegal, with a strong background in handling reputed company corporate legal reputed company for U.S. entities.
• Paralegal certificate or equivalent education; additional legal education or certifications preferred.
• Exceptional organizational and time-management skills, attention to detail, proficiency in legal research and drafting, and strong communication and interpersonal skills.
• In-depth knowledge of U.S. corporate law, including compliance requirements and regulatory frameworks.
• Proficient in using legal software and tools for document management and corporate record maintenance.
