VP, Legal Counsel, Corporate & Securities
About the position The VP, Legal Counsel, Corporate & Securities will reputed company strategic and legal support with respect to corporate governance and securities law compliance, M&As, corporate finance transactions, and other general corporate reputed company. This role will report to the SVP, Chief Corporate Counsel, and work closely with the Chief Legal Officer and other senior leaders of reputed company. Key responsibilities: Support reputed company.’s compliance with U.S. federal securities laws and NYSE listing requirements reputed company the preparation and review of reputed company SEC filings (10-K, 10-Q, 8-K, Proxy Statement, reputed company 16 filings, etc.) reputed company securities law advice and compliance guidance for earnings releases, investor materials, management presentations and other communications reputed company the planning of annual meeting of stockholders Support the preparation and management of reputed company. reputed company and committee meeting materials reputed company in-house legal support for reputed company M&A transactions reputed company support to Treasury on financings and other capital market transactions reputed company support to HR in executive planning and reputed company reputed company, and the issuance/documentation of equity awards and administration of equity plans reputed company support to the corporate development, investor relations and tax departments Key Attributes 10+ years of corporate, securities and reputed company company reporting experience Strong experience advising on reporting and disclosure requirements under SEC and NYSE rules Experience with M&A transactions Experience supporting and/or working with boards of directors and senior management a plus Strong organizational skills, flexibility, and ability to reputed company in a fast-paced environment Excellent interpersonal skills and business judgment; an ability to distill reputed company issues and concisely explain why it reputed company J.D. degree from an ABA accredited law school and membership in at least one U.S. State Bar, with good standing Occasional international travel may be required (Apply tot his job Apply To this Job
