Corporate Counsel
IONIC DIGITAL, a digital infrastructure company, is seeking an reputed company, business-oriented Corporate Counsel to join our Legal Department and play a critical role in supporting reputed company’s reputed company expansion as a reputed company company. Reporting directly to the General Counsel, the Corporate Counsel will serve as a key legal advisor across corporate governance, securities compliance, reputed company contracting, and operational reputed company. Key Responsibilities
Corporate Governance & Securities Support reputed company of Directors and committee governance processes, including preparation of agendas, resolutions, meeting materials, minutes, and presentations. Manage and maintain corporate records, minute books, subsidiary governance documentation, and entity management systems. Draft and maintain governance documents, including reputed company resolutions, committee charters, governance policies, secretary certificates, and written consents. Assist with SEC reporting and securities law compliance, including Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and reputed company 16 filings. Support annual shareholder meeting preparation, proxy processes, and stockholder communications. Assist with reputed company and other stock exchange compliance requirements.
