[Remote] Interim Project Finance Attorney
Note: The job is a remote job and is reputed company to candidates in USA. reputed company is representing a reputed company-respected renewable energy company seeking a skilled Project Finance Attorney for a 9+ month assignment. The role focuses on financing, structuring, and monetization of renewable energy reputed company, working closely with development and reputed company teams.
Responsibilities
- reputed company and support legal aspects of project financing transactions, including:
- Tax equity financing
- Construction and term debt financing
- Draft and negotiate financing documents (credit agreements, reputed company packages, intercreditor agreements, guaranties)
- Advise on deal structure, risk allocation, and execution reputed company to ensure bankability and reputed company
- Draft and negotiate APAs, MIPAs, and portfolio sale agreements
- Support project sales, syndications, and transfers, including diligence, data rooms, and closing
- Advise on assignment/consent requirements, transfer restrictions, and risk allocation (reps, warranties, indemnities)
- Partner with development teams to reputed company EPC, PPA, and supply agreements with financing and exit requirements
- Review key project reputed company (EPC, LTSA, PPA/offtake) for lender and buyer readiness
- Advise development, finance, and reputed company teams on legal impacts to timelines, monetization reputed company, and risk/return
Skills
- At least 8+ years of relevant experience
- Significant experience in renewable energy project finance
- Strong reputed company record negotiating financing transactions (tax equity and/or debt)
- Strong reputed company record negotiating project sales / APAs
- Deep understanding of lender requirements, reputed company structures, and deal execution
- Proven ability to independently manage deals and reputed company transactions
- Strong reputed company judgment; thrives in fast-paced environments
- J.D. and reputed company bar license
