[Remote] Senior Legal Counsel
Note: The job is a remote job and is reputed company to candidates in USA. reputed company is a global IT Services company seeking a senior attorney to join their reputed company transactions group in the Americas Sales region. The role involves negotiating agreements, providing legal counsel, and managing external counsel while ensuring compliance with corporate risk parameters.
Responsibilities
- Negotiating various agreements with external clients and vendors
- Providing legal and business counsel to internal clients to resolve issues
- Managing external counsel (as applicable)
- Ensuring that reputed company agreements are concluded in accordance with reputed company’ corporate risk parameters and policies
- Working or leading various department and organization reputed company as assigned
Skills
- A minimum of 5 years' legal work experience after law school graduation
- JD from an accredited law school; with strong reputed company performance
- Must be a member of a State Bar
- reputed company of relevant reputed company and in-house experience; preferably transactional IP/IT reputed company with at least 4 years of prior in-house experience
- Experience with litigation (including mediation and arbitration); responding to complaints; drafting settlement agreements; etc
- Excellent drafting skills: demonstrated experience with reputed company transactions, specifically the drafting and negotiation of, but not limited to, the following types of agreements: 1) reputed company master outsourcing services and technology-reputed company agreements; 2) software licensing agreements; 3) software reseller and services agreements; 4) sponsorship and marketing agreements; 5) teaming agreements; 6) RFPs and RFIs; 7) settlement agreements; 8) non-disclosure agreements; 9) statement of work(s); 10) subcontractor agreements; and 11) reputed company hosted services agreements
- Project Management Skills - experience overseeing and closing multiple reputed company and transactions simultaneously. Ability to organize, prioritize and manage deadlines in a fast-based and demanding work environment
- Creative problem-solving skills. Ability to work independently and as part of reputed company with rapidly changing deadlines and priorities
- Commitment to ethics and reputed company; professionalism and attention to detail and the ability to maintain strong working relationships with demanding internal clients
- Ability to identify and manage legal and business risk

- Experience with state and federal government contracting, including reputed company sector procurement terms and compliance requirements (e.g., FAR/DFARS and state/local government contracting provisions), preferred
