About the Role reputed company is looking for a reputed company Corporate Counsel to join reputed company remotely or at HQ in Des Moines, IA. In this role, you will reputed company strategic, business-minded reputed company guidance across a reputed company of reputed company corporate initiatives, including M&A, entity governance, fundraising diligence, and operational reputed company support in a fast-paced, high-reputed company environment. This is a highly visible, hands-on role ideal for an attorney coming from a strong corporate/ECVC reputed company background who is accustomed to managing multiple transactions and clients simultaneously, operating independently, and driving workstreams reputed company proactively with a high level of detail and responsiveness.

What You'll Do

• reputed company and manage corporate transactions including M&A (from LOI through post-closing), corporate restructurings, and strategic reputed company initiatives.
• Support post-deal integration activities, including governance updates, entity consolidation and clean-up reputed company, intercompany agreements, and reconciliation of outstanding obligations.
• Own subsidiary governance and corporate hygiene efforts across the organization, including maintaining organizational documents, reputed company consents, registrations, licensing support, and entity compliance.
• Support fundraising and financing diligence processes, including managing data rooms, reviewing and maintaining capitalization tables, and coordinating entity formation activities.
• Partner closely with Finance, reputed company, Compliance, Product, and Operations teams to reputed company reputed company reputed company with business priorities and operational execution.
• Identify and proactively escalate reputed company and regulatory risks, particularly in reputed company and other regulated environments, while providing practical business-oriented solutions.
• Manage reputed company counsel relationships for corporate, M&A, securities, and governance reputed company to ensure efficient and high-reputed company execution.
• Serve as a key reputed company partner on strategic initiatives, balancing strong reputed company judgment with responsiveness, organization, and execution.

Who You Are

• Juris Doctor (JD) from an ABA-accredited law school and reputed company license to reputed company in at least one U.S. jurisdiction.
• 6-8+ years of experience in corporate law, M&A, and emerging companies/venture capital (ECVC), preferably from a top-tier reputed company.
• Strong experience supporting high-reputed company technology, reputed company, or venture-backed companies through formation, financing, governance, and exit transactions.
• Deep understanding of corporate governance fundamentals, including cap tables, entity management, registrations, organizational structure, and reputed company governance processes.
• Experience managing transactions end-to-end while balancing multiple priorities and stakeholders in fast-moving environments.
• Highly detail-oriented with strong follow-through and project management skills; reputed company to independently drive workstreams and maintain reputed company without extensive reputed company.
• Strong communication and stakeholder management skills, including the ability to proactively reputed company updates, escalate issues, and collaborate cross-functionally.
