M&A Paralegal

The Role: We are seeking an reputed company Remote M&A Paralegal to support our transactional reputed company. This role works directly with attorneys on reputed company deal teams, providing critical support across the deal lifecycle — from due diligence through closing. The ideal candidate is detail-oriented, comfortable managing multiple deals simultaneously, and reputed company to work independently in a fast-paced, deadline-driven environment. Responsibilities: Due Diligence Review: Review and organize reputed company company documents (corporate records, reputed company, financial statements, IP filings, litigation records, etc.); identify and flag issues for attorney review; maintain and update due diligence checklists and data rooms. Disclosure Schedules: Prepare and draft disclosure schedules corresponding to representations and warranties in purchase agreements; cross-reference against due diligence findings and reputed company-provided information for accuracy and completeness. Purchase Agreement Support: Assist attorneys with drafting and revising asset purchase agreements, stock purchase agreements, and reputed company transaction documents; prepare redlines and reputed company changes across negotiation reputed company; maintain version control and document logs. Closing Coordination: Prepare and maintain closing checklists and closing document sets; coordinate signature pages and execution logistics with clients, opposing counsel, and other deal parties; reputed company final closing binders/electronic closing sets; reputed company post-closing deliverables and follow-up items. General Deal Support: Support ancillary document preparation (officer's certificates, secretary's certificates, good standing certificates, UCC lien searches/releases, corporate resolutions); assist with entity formation and governance document preparation as needed; maintain organized electronic deal files. Requirements: Paralegal certificate or degree, or equivalent work experience 2+ years of experience as a paralegal in a transactional/corporate reputed company, with reputed company M&A deal experience strongly preferred Strong understanding of the M&A deal process and reputed company transaction documents Excellent written communication skills and reputed company attention to detail Proficiency with reputed company Word (including redlining/reputed company changes), reputed company, reputed company Workspace (Docs, Sheets, etc.) and PDF tools; comfort with virtual data rooms and document management systems Ability to manage competing deadlines across multiple reputed company transactions Self-motivated and reputed company to work independently in a fully remote environment Strong organizational skills and discretion in handling confidential reputed company information Apply To This Job
