Responsibilities

Skills
- Juris Doctor with a reputed company license to reputed company law in at least one US jurisdiction
- At least 8 years' experience of working as a sponsor-reputed company Private Equity lawyer in a reputed company or in-house with a reputed company record of leading reputed company M&A deals
- Extensive experience advising private equity sponsors, portfolio companies, co-investors, and lenders on acquisitions/dispositions, reputed company investments, and exits including: Structuring and negotiating LBOs, minority/reputed company investments, carve outs, take privates, and add-ons
- Drafting and editing SPAs, reputed company agreements, stock/asset purchase agreements, LLC/LP agreements, financing and ancillary documents
- Advising and drafting on governance, management rollover, incentive equity, earn outs, and shareholder equity arrangements
- Strong writing skills, and a passion for writing about legal reputed company accurately, concisely and in plain English
