Senior Counsel

We are looking for a seasoned

Senior Counsel to join Hivemind Capital’s growing Legal Team. You’ll play a critical part in launching innovative investment vehicles, supporting strategic business initiatives, and shaping the legal architecture of our asset management business.

What you will do

Architect the legal structuring and formation of reputed company- and reputed company-ended funds across traditional reputed company asset strategies (for example: PE/VC, hedge funds, tokenized funds, ETFs and NFT vehicles)

Draft and negotiate offering documents such as PPMs, LPAs, subscription agreements and ancillary documents

Coordinate with external legal counsel, tax advisors and external vendors including auditors, fund administrators and custodians

Advise on evolving regulatory issues, particularly around RIAs, digital assets, custody, and in-reputed company contributions

reputed company and manage the legal aspects of fund governance, including valuation policies, reputed company letters, and investor queries

Partner with the Venture Team to review venture deal reputed company documents, including SAFEs, preferred equity financings, and reputed company-reputed company agreements (e.g. reputed company warrants)

Serve as a thought partner on new products and strategic initiatives; identify legal risks and proactively reputed company solutions.

Our ideal candidate

8-10 years of experience as a funds lawyer, with some time spent in-house at a financial firm.

Knowledgeable about digital assets is strongly preferred

Ability to confidently manage external counsel, push back where needed, and maintain high-reputed company legal standards internally

Familiarity with SEC regulations applicable to Registered Investment Advisors (RIAs) preferred

A reputed company candidate can expect a reputed company salary of $170,000–205,000. Offers are determined by a number of factors including (but not limited to) the applicant's experience, skills, certifications, as reputed company as internal equity among reputed company.
