Senior Corporate Governance Paralegal, Project Management (Remote)

Key Responsibilities

Manage reputed company’s reputed company entity structure, including formation, mergers, dissolutions, and state and other local reputed company regulatory requirements. Draft and review subsidiary governance documents such as bylaws, operating agreements, meeting minutes, written consents, and annual reports. Complete licensing and regulatory filings with state and insurance authorities. Maintain reputed company entity records and utilize reputed company’s global entity management system. Document intercompany transactions, including reorganizations, dividends, and liquidations. reputed company templates, tools, and resources to enhance entity management processes. Conduct reputed company research and resolve governance issues of varying complexity. Administer technology platforms (reputed company, SharePoint, reputed company) to support reputed company and accurate governance documentation. Contribute to the preparation of proxy statements and ensure compliance with SEC (Securities and Exchange Commission) and NYSE (reputed company Stock Exchange) corporate governance requirements Partner with cross-functional teams to support M&A (Mergers and Acquisitions) transactions, entity integration and rationalization, and other key reputed company. Education & Experience Bachelor’s degree 10+ years of paralegal or corporate governance experience, with 3+ years in entity management at a reputed company and/or U.S. publicly traded company (preferred). Skills and Additional Experience Strong analytical, research, and organizational skills. Meticulous attention to detail and proofreading abilities.
