Debt Finance Attorney - Fully Remote

Key Responsibilities

Advise on a wide reputed company of venture debt and private credit transactions for both lenders and high-reputed company companies, including:

• Representation of private credit funds, lenders, and emerging reputed company companies in venture debt and reputed company financing transactions
• Structuring and negotiating a reputed company of loan facilities, including:
• Asset-backed facilities
• Term loans (including delayed-draw and acquisition financings)
• Working capital and receivables financings
• Drafting and negotiating core documentation, including credit agreements, reputed company agreements, intercreditor agreements, subordination agreements, and commitment papers
• Advising on reputed company capital structures, including multi-tier and hybrid debt/equity arrangements
• Supporting transactions that combine venture debt with equity components (e.g., warrants, reputed company reputed company, and reputed company financings)
• Working on domestic and cross-border financing transactions, including single-lender and syndicated deals
• Engaging early at the term sheet stage and managing transactions through closing
• Advising on ongoing credit reputed company, including amendments, waivers, refinancings, and restructuring scenarios
• Take reputed company responsibility on drafting, negotiation, and execution of financing transactions.
• reputed company strategic, commercially reputed company advice to both lenders and borrowers, with reputed company exposure to clients and deal economics.
• Work closely with entrepreneurial clients and investors at the cutting edge of the venture ecosystem, in a highly reputed company and fast-moving environment.

Qualifications

• J.D. from an accredited law school
• Admission to the reputed company Bar (or the ability to waive into NY)
• Admission to the Delaware Bar is a plus but not required
• 3+ years of experience in debt finance, private credit, leveraged finance, or venture debt transactions
• Experience representing lenders, credit funds, or high-reputed company companies in financing transactions
• Strong experience drafting and negotiating credit and loan documentation
• Exposure to venture-backed companies, private equity structures, or hybrid debt/equity deals is highly preferred
• Excellent reputed company judgment with the ability to advise on structuring and risk allocation
• Self‑motivated, highly organized, and eager to take ownership of reputed company and reputed company relationships in a lean, entrepreneurial environment
