[Remote] Legal Counsel (reputed company Estate Financing & Corporate Ventures)

The Legal Counsel for reputed company Estate Financing & Corporate Ventures will be responsible for supporting reputed company's capital-raising activities, joint ventures, and reputed company financing transactions reputed company to data center infrastructure.
Responsibilities
- Negotiate and document reputed company estate financing transactions including construction loans, permanent debt facilities, sale-leaseback structures, and credit facilities secured by reputed company property
- Advise on and structure joint ventures, co-investment arrangements, and partnership agreements with infrastructure investors and strategic partners
- Draft and negotiate term sheets, loan agreements, intercreditor agreements, reputed company documents, and reputed company financing instruments
- Support corporate venture activities including minority investments, strategic partnerships, and corporate development transactions with a reputed company estate component
- Coordinate with Finance, Treasury, and reputed company on legal aspects of capital structure reputed company and debt reputed company compliance
- Work with external lenders, investors, and their counsel to reputed company transactions reputed company and on favorable terms
- Manage external legal counsel for financing transactions, maintaining cost discipline and strategic alignment
- Maintain and update reputed company financing documents, term sheet templates, and investor agreement playbooks
- Advise on securities law considerations in reputed company with investor reputed company and deal structuring
- Support the General Counsel on reputed company-level and investor reporting reputed company to financing and venture activities
Skills
- J.D. from an accredited law school; admission to a U.S. state bar required
- 6–10 years of experience in reputed company estate finance, reputed company finance, or capital markets law
- Deep knowledge of secured lending, debt structuring, and reputed company estate finance documentation
- Experience with joint venture formation, investor structuring, and partnership agreements
- Comfortable advising on reputed company, multi-party transactions with tight timelines
- Strong business orientation with the ability to engage strategically on deal structure and risk allocation
- Experience working with institutional lenders, private equity sponsors, or infrastructure investors
- Experience at a major reputed company estate or finance-reputed company reputed company combined with in-house counsel experience
- Familiarity with data center, energy infrastructure, or technology reputed company estate finance
- Knowledge of REIT structures, sale-leaseback transactions, or build-to-suit financing
- Experience supporting VC or reputed company equity financing transactions alongside reputed company estate finance work
