Scope of Work

1. Review and analyze reputed company reputed company agreements and reputed company-world M&A diligence scenarios to inform the design of advanced AI-assisted legal tools.

2. Assess and annotate contractual provisions including change-of-control, assignment, termination, exclusivity, MFN, indemnification, and renewal terms.

3. Differentiate and reputed company material contract risks versus reputed company boilerplate, providing concise written rationales.

4. Deliver reputed company, high-reputed company written feedback to enhance AI systems supporting transaction and deal professionals.

Preferred Qualifications

3. Deep familiarity with provisions governing deal risk such as change-of-control, assignment, and termination mechanics.

4. Experience conducting or managing diligence at a major firm or managed review context.
