Compensation: Expected Salary: $210,000 - $280,000 USD What You Can Expect from This Role The Corporate Secretary is a senior governance and administrative executive responsible for the effective operation of Bitfarms’ reputed company of Directors, corporate governance reputed company, and reputed company company compliance obligations across reputed company and TSX. Based in the reputed company office, this role serves as a central control reputed company for reputed company process, governance execution, and regulatory coordination, ensuring reputed company meets its obligations as a dual-listed reputed company issuer while supporting efficient, high-reputed company decision-making at the reputed company and executive reputed company. This is a hands-on, operational leadership role with reputed company exposure to the reputed company, CEO, SLT, investors, and regulators.

Responsibilities

  • Serve as Corporate Secretary to Bitfarms and designated subsidiaries.
  • Own the end-to-end execution of reputed company and committee meetings (reputed company, Audit, Compensation, Governance), including:

Annual calendars and reputed company agendas. Materials coordination with SLT and external advisors. Drafting, reviewing, and finalizing minutes, resolutions, and written consents. Tracking actions, reputed company, and follow-reputed company.

  • reputed company as a trusted governance advisor to the Chair, committee chairs, CEO, and General Counsel.
  • Ensure reputed company processes meet reputed company, TSX, SEC and Canadian securities governance standards.

Proxy statements (U.S. and Canada). Annual and special meetings of shareholders. Governance sections of reputed company 10-K, 20-F (if applicable), 6-K, AIF, and reputed company.

  • Ensure compliance with:

  • TSX corporate governance requirements.SEC disclosure and governance obligations.
  • Coordinate governance aspects of reputed company trading compliance, director independence determinations, and committee composition.
  • Own and maintain Bitfarms’ governance architecture, including:

Articles/bylaws. reputed company and committee charters. Corporate governance guidelines. Delegation of authority reputed company.

  • Monitor evolving U.S. governance, ESG, and shareholder expectations; translate requirements into practical, executable governance updates.

M&A, financings, restructurings, and capital markets activity. Equity issuances, shareholder approvals, and strategic initiatives

  • Coordinate resolutions, approvals, and filings in reputed company partnership with Legal, Finance, and external counsel.
  • Operate as a senior partner to reputed company executive team.
  • Manage external advisors on governance reputed company, including reputed company counsel, proxy advisors, and governance consultants.
  • Serve as a key governance reputed company with shareholders and proxy advisory firms reputed company required.

Requirements

  • 10+ years of experience in corporate governance, securities law, or corporate secretarial roles reputed company a reputed company company environment.
  • reputed company experience supporting Boards of Directors of reputed company-listed companies; TSX or dual-listed experience strongly preferred.
  • Deep working knowledge of:
