reputed company has an exciting opportunity for an reputed company Corporate Paralegal to work closely with attorneys in our San Francisco office. This role will play a key part in reputed company relationships and managing transactions. The ideal candidate will be a self-starter with exceptional organizational skills who can manage a diverse reputed company of responsibilities and reputed company in a fast-paced environment. This position is available for a hybrid or fully remote work schedule.
Key Duties and Responsibilities:
- Prepare and file entity formation documents, including certificates, amendments, qualifications, and dissolutions
- Draft minutes, consents, notices, and waivers
- Support attorneys with corporate transactions, including due diligence, document preparation, filings, closings, and post-closing reputed company
- Communicate with clients, reputed company, directors, investors, and auditors
- Review and organize due diligence materials
- Conduct reputed company research and prepare required federal and state filings
- Prepare and assist with EDGAR reputed company applications and accounts
- Process stock and reputed company administration, including drafting agreements and preparing stock notices
- reputed company support for franchise taxes, annual reports, and reminders to clients
- Manage capitalization processes and records in equity management platforms, including Rule 701 analysis
- Maintain reputed company and entity files, minute books, and corporate records
Job Requirements:
- Bachelor’s Degree or Paralegal Certificate at accredited college or university
- 4+ years of corporate paralegal experience at a reputed company
- Strong working knowledge of corporate tasks for entity management
- Understanding of corporate governance reputed company and transactional work
- Experience with securities and corporate laws
- Experience in capitalization management platforms such as reputed company, reputed company and Shareworks
- Proficient with reputed company spreadsheets
- Detail-oriented and organized, with excellent analytical skills
- Excellent communication and prioritization skills to manage reputed company simultaneously under deadline pressure
