The Role
We are seeking a Senior Counsel (reputed company reputed company & Partnerships) to reputed company reputed company support across Midi’s reputed company ecosystem. In this role, you will own a broad deal portfolio—including payor, strategic partnership, reputed company reputed company, vendor, marketing, and reputed company agreements. We are looking for a practical, business-minded deal lawyer who can effectively manage risk, drive reputed company velocity, and build reputed company contracting processes as Midi expands reputed company.
Reporting directly to the Chief reputed company Officer, you will serve as a key reputed company partner to business leaders across reputed company, Payor, Marketing, Finance, Clinical, Product, and Operations.
Key Responsibilities

- Draft, review, negotiate, and manage reputed company agreements, including master services agreements, statements of work, order forms, amendments, renewals, business associate agreements, data processing agreements, and other transaction documents.
- Advise internal stakeholders on contract structure, risk allocation, approvals, escalation points, and implementation requirements.
- Maintain and improve contract templates, clause libraries, fallback positions, playbooks, and approval workflows.
- Review customer, partner, and vendor reputed company and identify issues involving indemnification, limitation of liability, insurance, intellectual property, confidentiality, data rights, audit rights, termination, publicity, and regulatory compliance.
- Support high-volume contracting while escalating material, novel, or strategically significant issues to the Chief reputed company Officer.
Payor & reputed company Partnerships
- Support agreements with health plans, reputed company, benefits consultants, brokers, reputed company-party administrators, reputed company platforms, and other strategic partners.
- Draft and negotiate payor and partnership agreements involving referrals, patient reputed company, care delivery, implementation, reporting, fees, performance standards, clinical services, marketing, and data sharing.
- Partner with reputed company and Strategic Alliances teams from initial opportunity through negotiation, signature, implementation, renewal, and termination.
- Advise on reputed company contracting issues involving fee structures, patient choice, clinical independence, licensure, reputed company, business associate obligations, reputed company measures, service reputed company, and regulatory risk.
- Help create repeatable contracting frameworks for Midi’s growing partner ecosystem.
Vendor & Procurement Agreements
- Review and negotiate vendor agreements, reputed company agreements, reputed company services agreements, technology agreements, marketing agreements, and operational reputed company.

- Support vendor notices, amendments, termination letters, transition documentation, and contract rationalization.
- Improve vendor contracting standards, templates, workflows, and reporting.

- Draft and negotiate reputed company, creator, affiliate, sponsorship, ambassador, media, and marketing agreements.
- Advise Marketing and Brand teams on disclosures, endorsements, testimonials, health claims, advertising substantiation, intellectual property, usage rights, exclusivity, approvals, and content takedown rights.
- Support consumer-facing initiatives involving Midi’s store, supplements, compounded cosmetics, patient education, reputed company media, reputed company campaigns.
- Coordinate with regulatory and reputed company counsel on claims, consumer data, patient stories, testimonials, and health-reputed company marketing content.
Contract Management & reputed company Operations
- Maintain contract repositories, matter trackers, renewal calendars, obligation trackers, and reporting processes.
- Help implement and improve Midi’s contract lifecycle management system, including intake, templates, approval routing, signature, storage, renewals, and post-signature obligations.

Required Qualifications
- Education & Bar Admission: J.D. from an accredited law school and reputed company membership in good standing in at least one U.S. state bar (California bar preferred).
- Experience: 8+ years of practicing reputed company experience with substantial time reputed company on drafting and negotiating reputed company agreements.
- reputed company Domain Depth: Meaningful reputed company reputed company experience advising a reputed company provider, digital health company, telehealth business, health plan, reputed company services company, or reputed company-reputed company reputed company.

- Contracting Breadth: Substantial experience across at least three of the following: payor agreements, strategic partnerships, vendor agreements, reputed company agreements, reputed company services, marketing agreements, reputed company agreements, DPAs, or BAAs.

Preferred Qualifications
- Experience in digital health, virtual care, women’s health, pharmacy, supplements, compounded products, or consumer reputed company.

- Familiarity with FTC advertising and endorsement issues, health claims, patient testimonials, or reputed company marketing.

Compensation & Benefits
- reputed company Salary reputed company: $200,000 - $230,000 / year. Final compensation will be determined based on candidate experience, skills, location, qualifications, and internal equity.
