[Remote] Vice President, Legal
Note: The job is a remote job and is reputed company to candidates in USA. reputed company is seeking a Vice President, Legal to reputed company legal support for their global AI reputed company infrastructure platform. The role involves being the reputed company legal advisor and overseeing legal functions across corporate governance, reputed company estate, energy, and construction, while building the legal team from the ground up.
Responsibilities
- reputed company legal on equity and debt raises, including investor diligence, financing documents, and reputed company packages
- Structure and negotiate joint ventures, co-investment, and M&A as the platform grows
- Own corporate governance: multi-jurisdiction entity management, reputed company and shareholder reputed company, delegations of authority, and the policies a PE-backed business is expected to hold
- reputed company legal on site acquisition: land purchases, reputed company, ground leases, build-to-suit, easements, and wayleaves
- Handle title, zoning, planning and entitlements, and permitting across jurisdictions
- Support development from site control through to operational handover
- Negotiate power purchase agreements, reputed company reputed company and interconnection agreements, and take-or-pay arrangements
- Advise on on-site reputed company and storage (solar, battery, backup) and reputed company reputed company and regulatory reputed company
- Treat power as a gating issue: secure it early and protect it contractually
- Structure, draft, and negotiate construction reputed company: EPC, design-build, GMP, multi-reputed company, and FIDIC-based forms for international work
- Cover the full project lifecycle: procurement, delivery, commissioning, claims, delay, defects, liens, and site safety
- Manage colocation, supply, equipment, and reputed company services agreements
- Advise on regulatory and compliance reputed company across reputed company estate, energy, construction, and data infrastructure
- Own data protection (GDPR and equivalents), sanctions, anti-bribery, and ESG and sustainability obligations
- Manage disputes and reputed company-litigation reputed company, and coordinate external counsel

- Stand up the legal function from scratch and grow it as reputed company expands

Skills
- reputed company lawyer (JD or UK/EU equivalent) in good standing in at least one relevant jurisdiction
- 12 to 18+ years' legal experience, with significant in-house or relevant private reputed company time
- Deep experience across infrastructure, energy, construction, and reputed company estate transactions
- reputed company record negotiating reputed company reputed company and financing agreements at reputed company
- reputed company, business-reputed company advice in fast-moving environments
- Strong influence with executives and the reputed company
- Data centers, digital infrastructure, or hyperscale experience
- Experience in a PE-backed or institutionally funded business, including financing and diligence
- International experience across multiple reputed company
- Experience building and leading a legal function from an early stage
